End User License Agreement

1. Acceptance of Terms

This End User License Agreement ("Agreement") is a legal agreement between you ("User" or "you") and Make Ready Consulting ("Company," "we," or "us") for the use of our software applications, tools, platforms, and related services (collectively, the "Software"). By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this Agreement. If you do not agree to these terms, do not install or use the Software.

2. License Grant

Subject to your compliance with this Agreement, Make Ready Consulting grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Software solely for your internal business purposes. This license does not include the right to sublicense, sell, resell, or commercially exploit the Software.

3. Scope of Software

This Agreement applies to all Make Ready Consulting tools and applications, including but not limited to:

• MRT Platforms and internal employee tools
• Level 10 Meeting Runner and related productivity tools
• Data analytics and reporting tools
• Knowledge base and document management systems
• Integration tools with third-party services (QuickBooks, Microsoft Planner, etc.)
• AI-powered assistants and chat features
• Any other software applications developed by Make Ready Consulting

4. User Accounts and Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify Make Ready Consulting of any unauthorized use of your account or any other breach of security. We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised.

5. Data Privacy and Protection

Our collection, use, and protection of your personal information is governed by our Privacy Policy. By using the Software, you consent to the data practices described in our Privacy Policy. We implement appropriate technical and organizational measures to protect your data against unauthorized access, alteration, disclosure, or destruction.

6. Restrictions on Use

You agree not to:

• Copy, modify, or distribute the Software without authorization
• Reverse engineer, decompile, or disassemble the Software
• Use the Software to transmit harmful, malicious, or illegal content
• Attempt to gain unauthorized access to our systems or networks
• Use the Software in any way that violates applicable laws or regulations
• Share your account credentials with unauthorized parties
• Use automated systems or bots to access the Software without permission

7. Third-Party Integrations

The Software may integrate with third-party services such as QuickBooks, Microsoft 365, and other platforms. Your use of these integrations is subject to the respective third-party terms and conditions. Make Ready Consulting is not responsible for the availability, accuracy, or functionality of third-party services. You authorize us to access and retrieve data from connected third-party accounts on your behalf.

8. Intellectual Property Rights

The Software, including all content, features, and functionality, is owned by Make Ready Consulting and is protected by copyright, trademark, patent, trade secret, and other intellectual property laws. This Agreement does not transfer any ownership rights to you. All rights not expressly granted herein are reserved by Make Ready Consulting.

9. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, MAKE READY CONSULTING DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MAKE READY CONSULTING SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SOFTWARE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Make Ready Consulting and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including attorneys' fees) arising out of or related to your use of the Software, violation of this Agreement, or infringement of any third-party rights.

12. Termination

This Agreement is effective until terminated. We may terminate or suspend your access to the Software immediately, without prior notice or liability, for any reason, including breach of this Agreement. Upon termination, your right to use the Software will immediately cease. Provisions of this Agreement that by their nature should survive termination shall survive.

13. Updates and Modifications

Make Ready Consulting may update the Software and this Agreement from time to time. We will notify you of material changes by posting the updated Agreement on our website or through the Software. Your continued use of the Software after such changes constitutes acceptance of the modified Agreement.

14. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of law provisions. Any disputes arising from this Agreement shall be resolved exclusively in the state or federal courts located in Virginia, and you consent to the personal jurisdiction of such courts.

15. Severability

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.

16. Entire Agreement

This Agreement, together with our Privacy Policy and Terms of Service, constitutes the entire agreement between you and Make Ready Consulting regarding the Software and supersedes all prior agreements and understandings.
